PREFACE TO THE FOURTH EDITION
Our aim in writing the fourth edition of this book has been the same as it was for all previous
editions: to provide students of commercial law with a book that combines extracts from the
cases and other materials with a substantial commentary that helps put those extracts in
context and questions their significance. We hope we have got somewhere near to achieving
that goal.
The fourth edition takes account of scores of new cases and includes extracts from the
most significant: J & H Ritchie Ltd v Lloyd Ltd (sale of goods); Lonsdale v Howard & Hallam
Ltd (agency); Architects of Wine Ltd v Barclays Bank plc (cheques); Barbados Trust Co v Bank
of Zambia and Offer-Hoar v Larkstore Ltd (assignment); Re Spectrum Plus Ltd (charges);
Marubeni Hong Kong and South China Ltd v Mongolian Government (guarantees). New
legislation has also impacted upon commercial law, including the Consumer Credit Act
2006, which amends the Consumer Credit Act 1974, and the Companies Act 2006, and we
have assumed that these important statutes are fully in force whenever we have referred to
them in the book. The chapter on trade finance has been rewritten to take account of the
2007 revision of the Uniform Customs and Practice for Documentary Credits, and the section
of the book that deals with bills of exchange and banking incorporates references to the 2008
editions of the Banking Code and the Business Banking Code.
We are grateful to the many people who have provided us with advice and assistance. Our
